Terms of Service
Last updated: [DATE] (draft, pending legal review)
Who we are
[Compass Response Ltd], company number [COMPANY NUMBER], registered in England and Wales at [REGISTERED ADDRESS] ("we", "us", "our"). These terms apply to your use of this website and, alongside any separately agreed proposal or statement of work, to our services.
Acceptance of these terms
By using this website, submitting the audit request form, or engaging us for services, you agree to these terms. If you're accepting on behalf of a business, you confirm you have the authority to do so.
Our services
We build and operate automation for businesses: Lead Automation & CRM, AI Chatbots & Customer Service, Workflow Automation, and Dashboards & Reporting. The exact scope, deliverables, timeline, and fees for any engagement are set out in a separate proposal or statement of work agreed directly with you, not fixed by this page. Where anything in a signed proposal conflicts with these terms, the proposal governs.
Some services depend on third-party platforms we don't control: Twilio (SMS/WhatsApp), Anthropic's Claude and Voyage AI (message and reply generation), Calendly (booking), and our own hosting and automation infrastructure. We aren't liable for outages, price changes, or policy changes on those platforms' part, though we'll work with you to respond to them.
Your responsibilities
If we're processing your customers' data on your behalf (running lead automation, chatbot, or messaging services for your business), you're responsible for:
- Having a lawful basis to collect and share that data with us in the first place
- Complying with UK PECR and marketing-consent rules for any messages sent to your customers, including honouring opt-outs
- Giving us accurate information about your business, numbers, and booking links so the automation behaves correctly
- Keeping any account access, API keys, or credentials we provide you secure
Fees and payment
Fees, invoicing frequency, and payment terms are set out in your proposal or statement of work, not on this page. [Standard payment terms, e.g. "invoices are due within 14 days of issue"]. [Late payment policy].
Cancellation and termination
[Notice period for cancelling an ongoing engagement, e.g. "either party may terminate an ongoing engagement with 30 days' written notice"]. On termination, we'll stop active workflows for your account within a reasonable period and, on request, provide an export of your own data held in our systems, excluding anything we're required to retain for legal or accounting reasons.
Intellectual property
We retain ownership of our own underlying automation platform, workflow templates, and tooling. You retain ownership of your own business data, content, and anything specific to your business that we build for you as part of an engagement, as set out in your proposal.
Data protection
How we handle personal data through this website is set out in our Privacy Policy. Where we process your customers' data on your behalf as part of a service, that relationship is governed by a separate Data Processing Agreement, not by this page — [note: a standalone DPA template hasn't been drafted yet as of this page's last update, put one in place before onboarding a real client].
Liability
We aim to deliver services with reasonable care and skill, but we don't guarantee specific business outcomes (e.g. a particular number of leads or conversions). [Standard liability cap and exclusions, e.g. "our total liability under any engagement is limited to the fees paid for that engagement in the preceding 12 months, and we exclude liability for indirect or consequential loss"]. Nothing in these terms excludes liability that can't legally be excluded, such as for death or personal injury caused by negligence, or fraud.
Governing law
These terms are governed by the laws of England and Wales, and any disputes are subject to the exclusive jurisdiction of the courts of England and Wales.
Changes to these terms
We may update these terms from time to time. Material changes will be reflected in the "last updated" date above. For an ongoing engagement, the terms in place at the time you signed your proposal continue to apply unless we agree otherwise in writing.
